Step-by-step checklist to legally prepare BladeVault for investors and public listing.

1. Gather Current LLC Documents

Collect your operating agreement, EIN letter, and articles of organization.

2. Incorporate as C-Corp in Delaware

File Certificate of Incorporation with Delaware Division of Corporations. Cost: ~$89.

3. Convert LLC → C-Corp

Statutory conversion or merge the LLC into the new C-Corp. A startup attorney handles this.

4. Get New EIN for C-Corp

Your LLC EIN does not transfer. Apply for a new EIN for the C-Corp.

5. Open Business Bank Account

Open a dedicated C-Corp bank account. Mercury or Brex are popular for startups.

6. Reg CF Crowdfunding (First Public Raise)

Raise up to $5M from the public legally under SEC Regulation CF. Use Republic or Wefunder.

7. File S-1 with SEC (Full IPO)

When ready for a full public offering, file Form S-1 registration statement on SEC EDGAR.

8. Apply for Exchange Listing

Apply to NASDAQ or NYSE once S-1 is effective and IPO is priced.
